Villkoren nedan godkänns tillsammans med gällande personuppgiftspolicy vid första inloggning till kursportalen.
Dessa villkor (Användarvillkoren) gäller för den tjänst (MeraDu) som LomaLife AB, 559434–3880, (LomaLife) tillhandahåller. MeraDu görs tillgänglig för kursdeltagaren (Kunden) under en begränsad tid (Avtalsperioden). Kundens nyttjande av MeraDu begränsas till de utbildningar och delar som Kunden beställt (Beställningen). Efter erlagd betalning upplåter LomaLife till Kunden, en icke-exklusiv och icke-överlåtbar, licens att nyttja MeraDu i enlighet med Beställningen och dessa Användarvillkor - gemensamt benämnda (Avtalet) - för de utbildningar och för det antal användare som beställts. Vid Beställning av MeraDu godkänner Kunden dessa Användarvillkor och förbinder sig därmed till Avtalet.
MeraDu består av den eller de utbildningar, tjänster och moduler som görs tillgängliga för Kunden över allmänna elektroniska nätverk, molntjänster, digitala plattformar eller lokaler. MeraDu omfattar digitalt material eller föreläsningar på plats.
Till Beställningen hör beskrivning av vilket innehåll och omfattning av MeraDu som Beställningen omfattar (Specifikation) som återfinns på platsen för Beställningen. Av Beställningen framgår antalet användare som har beställt MeraDu. Vi förbehåller oss rätten att inte genomföra en beställning om vi anser att Kunden, eller den verksamhet Kunden representerar, bedriver konkurrerande verksamhet till LomaLife.
Perioden under vilken MeraDu görs tillgänglig för Kunden framgår av Beställningen. Efter Avtalsperioden har Kunden inte rättighet att nyttja MeraDu.
Kostnaden för MeraDu framgår av den plats där MeraDu beställts av Kunden. Samtliga priser inkluderar mervärdesskatt.
Leverans ska anses ha skett när Kunden har mottagit inloggningsuppgifter till MeraDu. Kunden använder MeraDu genom inloggning till MeraDu via de kommunikationskanaler (eller på plats) som angivits av LomaLife. Tjänsten får endast användas på de platser LomaLife anvisar till och tillhandahåller.
MeraDu är upphovsrättsligt skyddad och samtliga immateriella rättigheter gällande MeraDu tillkommer endast LomaLife. Kunden förvärvar endast en begränsad nyttjanderätt för det antalet användare som beställts. Kunden äger inte rätt att framställa kopior av hela eller delar av MeraDu. Kunden får inte delvis eller i sin helhet vidarelicensiera, hyra ut, överlåta, upplåta, pantsätta eller på annat sätt, mot eller utan vederlag, överföra någon av de rättigheter som upplåtits utan skriftligt godkännande från LomaLife. Märkning eller uppgift om upphovsrätt eller copyright i program eller på medium där MeraDu görs tillgänglig för Kunden får inte förändras eller avlägsnas. Ingenting i dessa Användarvillkor ska uppfattas som en överföring av någon immateriell, eller annan rättighet, till Kunden eller någon annan.
Inloggningsuppgifter som delges Kunden är personliga och det åligger Kunden att hantera och förvara dessa på ett betryggande sätt för att förhindra vidare spridning.
LomaLife kan under Avtalsperioden komma att mottaga konfidentiell information om Kunden. Med konfidentiell information avses skriftlig och/eller muntlig information som avser affärs- och yrkeshemligheter eller annan information om Kunden eller Kundens arbetsgivare som inte är allmänt kända eller tillgängliga och är att betrakta som konfidentiella. LomaLife har enbart rätt att använda konfidentiell information för det syfte som den lämnats av Kunden. Denna sekretess ska gälla under Avtalstiden och därefter så länge som informationen är att betrakta som konfidentiell. Sekretessåtagandet enligt denna punkt omfattar inte om utlämnande eller användning av information krävs enligt lag eller myndighetsbeslut. Den typ av information som LomaLife upplyst Kunden som kan komma att spridas till andra användare av MeraDu eller till Kundens arbetsgivare ska inte betraktas som konfidentiell.
Genom att använda MeraDu godkänner Kunden att LomaLife hanterar personuppgifter i enlighet med GDPR. LomaLife vill särskilt informera Kunden om att om Kundens arbetsgivare beställt eller bekostat tillgång till MeraDu, godkänner Kunden genom Avtalet att LomaLife skickar information om Kundens uppnådda användning och uppnådda resultat i MeraDu till Kundens arbetsgivare för att LomaLife ska kunna fullgöra sitt åtagande enligt avtal mot denne.
LomaLife har rätt att stänga av MeraDu och säga upp Avtalet med omedelbar verkan om Kunden i väsentligt avseende åsidosätter bestämmelser i dessa Användarvillkor. Som åsidosättande av bestämmelser från Kundens sida skall alltid anses upplåtelse av underlicenser, och nyttjande av MeraDu i större omfattning, för fler användare eller på annat sätt än dessa villkor uttryckligen tillåter. Rätten att nyttja MeraDu upphör automatiskt att gälla om Avtalet sägs upp av ovan angivna anledningar.
LomaLife garanterar inte att MeraDu är fri från fel eller att resultatet av Kundens användning av MeraDu är felfritt, optimalt eller komplett för Kundens behov. LomaLife ansvarar endast för direkta skador som orsakas genom uppsåt eller grov oaktsamhet av LomaLife. LomaLife ansvarar inte för följdskador eller indirekta skador såsom exempelvis, dock ej uteslutande, förlorad handelsvinst, kostnader som blivit onyttiga, förväntad besparing eller annan förbättring som uteblivit eller förlust eller förvanskning av data. LomaLife eller dess leverantörer kan inte heller – under några omständigheter – hållas ansvariga för några skador (inklusive, utan begränsning, skador för förlust av data eller vinst, eller på grund av affärsavbrott) som uppstår till följd av användningen eller oförmågan att använda materialet, även om LomaLife eller en behörig representant för LomaLife har meddelats muntligen eller skriftligen om möjligheten till sådana skador. LomaLifes totala skadeståndsansvar är begränsat till ett belopp motsvarande den betalning som erlagts av Kunden.
LomaLife ska underhålla, uppdatera och uppgradera MeraDu såsom LomaLife anser nödvändigt. LomaLife har även rätt men inte skyldighet att under Avtalsperioden utveckla och ändra MeraDu samt underleverantörer, driftsplattformar och tredjepartsprodukter. Ingenting i denna punkt får medföra väsentliga försämringar av MeraDu. Kunden är medveten om att LomaLifes underhåll av MeraDu från tid till annan kan komma att medföra att MeraDu behöver göras otillgänglig genom planerade och oplanerade driftsstopp. LomaLife ska sträva efter att genomföra sådant arbete på ett sätt som medför så lite olägenhet som möjligt för Kunden.
LomaLife har rätt att anlita underleverantörer för fullgörande av LomaLifes åtaganden enligt Avtalet. För utförandet av sådana avtalsförpliktelser som utförs av underleverantörer ansvarar LomaLife som om de hade utförts av LomaLife själv.
Avtalet får inte överlåtas eller på annat sätt överföras till tredje part, bortsett från att LomaLife ska ha rätt att överlåta sina rättigheter och skyldigheter enligt Avtalet till juridisk person som bildats eller bemyndigats att överta hela eller del av LomaLifes verksamhet.
LomaLife har rätt att göra ändringar och tillägg till dessa Användarvillkor under pågående avtalsperiod. Vid ändringar ska LomaLife meddela Kunden, t ex via e-post eller via meddelande i MeraDu eller på LomaLifes webbplats. Om Kunden upplever att förändringar eller tillägg innebär en väsentlig försämring av villkoren ska denne informera LomaLife om detta. Parterna ska därefter inleda förhandling för att tillsammans nå en överenskommelse.
Part är fri från ansvar när förlust, skada eller försening orsakats av myndighetsåtgärd eller underlåtenhet, nytillkommen eller ändrad lagstiftning, konflikt på arbetsmarknaden, krigshändelse, brand, blockad eller annan omständighet som part inte skäligen kunde förväntas ha räknat med och vars följder part inte heller skäligen kunde ha undvikit eller övervunnit (Force Majeure). Part som påkallar befrielse enligt Force Majeure skall skriftligen utan dröjsmål underrätta motparten därom. Om Avtalets fullgörande till väsentlig del förhindrats under längre tid än en (1) månad på grund av Force Majeure, har part möjlighet att skriftligen frånträda Avtalet.
Tvister med anledning av detta avtal ska hänskjutas till medling och/eller skiljeförfarande i enlighet med Västsvenska Handelskammarens Förtroenderåds regler om medling och skiljeförfarande. Skiljeförfarandet skall äga rum i Skövde. Avtalet såväl som fullgörandet av detsamma skall styras av, och tolkas i enlighet med svensk lag.

Terms of Use
Terms of Use These terms apply from 2023-08-10 onwards. The terms below are accepted together with the applicable privacy policy upon the first login to the course portal.
These terms (the "Terms of Use") apply to the service ("MoreYou") provided by LomaLife AB, 559434–3880, ("LomaLife"). MoreYou is made available to the course participant (the "Customer") for a limited time (the "Contract Period"). The Customer’s use of MoreYou is limited to the courses and sections ordered by the Customer (the "Order"). Upon payment, LomaLife grants to the Customer a non-exclusive and non-transferable license to use MoreYou in accordance with the Order and these Terms of Use - collectively referred to as the "Agreement" - for the courses and for the number of users ordered. By placing an Order for MoreYou, the Customer accepts these Terms of Use and thereby commits to the Agreement.
The Service MoreYou consists of the education, services, and modules made available to the Customer via public electronic networks, cloud services, digital platforms, or premises. MoreYou includes digital materials or on-site lectures.
The Order
The Order includes a description of the content and scope of MoreYou covered by the Order (the "Specification") found at the location of the Order. The Order specifies the number of users who have ordered MoreYou. We reserve the right to not process an order if we believe that the Customer, or the business the Customer represents, engages in competitive activities with LomaLife.
Contract Period
The period during which MoreYou is made available to the Customer is specified in the Order. After the Contract Period, the Customer is not entitled to use MoreYou.
Prices for MoreYou
The cost of MoreYou is specified at the location where MoreYou is ordered by the Customer. All prices include value-added tax.
Delivery and Use of MoreYou
Delivery is considered to have taken place when the Customer has received login details for MoreYou. The Customer uses MoreYou by logging into MoreYou via the communication channels (or on-site) specified by LomaLife. The service may only be used at the locations designated and provided by LomaLife.
Intellectual Property Rights and License
MoreYou is protected by copyright, and all intellectual property rights regarding MoreYou belong solely to LomaLife. The Customer acquires only a limited right to use for the number of users ordered. The Customer is not entitled to reproduce copies of all or parts of MoreYou. The Customer may not partially or wholly sublicense, lease, transfer, assign, pledge, or otherwise, with or without consideration, transfer any of the rights granted without written approval from LomaLife. Markings or information regarding copyright in programs or on media where MoreYou is made available to the Customer may not be altered or removed. Nothing in these Terms of Use shall be construed as a transfer of any intellectual or other right to the Customer or any other party. Handling of Login Credentials Login credentials provided to the Customer are personal, and it is the Customer’s responsibility to handle and store them securely to prevent further distribution.
Confidentiality
During the Contract Period, LomaLife may receive confidential information about the Customer. Confidential information refers to written and/or oral information concerning business and professional secrets or other information about the Customer or the Customer’s employer that is not publicly known or available and is to be considered confidential. LomaLife is only entitled to use confidential information for the purpose it was provided by the Customer. This confidentiality shall apply during the Term of the Agreement and thereafter for as long as the information is considered confidential. The confidentiality commitment under this clause does not cover disclosure or use of information required by law or government decision. The type of information that LomaLife has informed the Customer may be disclosed to other users of MoreYou or to the Customer’s employer shall not be considered confidential.
Processing of Personal Data
By using MoreYou, the Customer agrees that LomaLife processes personal data in accordance with GDPR. LomaLife wishes to inform the Customer that if the Customer’s employer has ordered or funded access to MoreYou, the Customer, through the Agreement, agrees that LomaLife sends information about the Customer’s usage and results achieved in MoreYou to the Customer’s employer for LomaLife to fulfill its contractual obligations to them.
Early Termination of MoreYou
LomaLife has the right to deactivate MoreYou and terminate the Agreement with immediate effect if the Customer materially breaches the provisions of these Terms of Use. Assignment of sublicenses and use of MoreYou to a greater extent, for more users, or otherwise than expressly permitted by these terms shall always be considered a breach of the Customer’s obligations. The right to use MoreYou automatically ceases if the Agreement is terminated for the aforementioned reasons.
Liability for Use and Errors in MoreYou
LomaLife does not guarantee that MoreYou is free from errors or that the results of the Customer’s use of MoreYou are flawless, optimal, or complete for the Customer’s needs. LomaLife is only liable for direct damages caused by intent or gross negligence on the part of LomaLife. LomaLife is not liable for consequential damages or indirect damages such as, but not limited to, lost trade profits, costs rendered useless, anticipated savings or other improvement that has not materialized, or loss or corruption of data. LomaLife or its suppliers cannot, under any circumstances, be held liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the material, even if LomaLife or an authorized representative of LomaLife has been notified orally or in writing of the possibility of such damages. LomaLife’s total liability for damages is limited to an amount corresponding to the payment made by the Customer.
Maintenance of MoreYou
LomaLife shall maintain, update, and upgrade MoreYou as deemed necessary by LomaLife. LomaLife also has the right but not the obligation to develop and modify MoreYou, subcontractors, operating platforms, and third-party products during the Contract Period. Nothing in this clause may result in significant deterioration of MoreYou. The Customer is aware that LomaLife’s maintenance of MoreYou from time to time may require MoreYou to be made unavailable due to planned and unplanned downtime. LomaLife shall strive to carry out such work in a manner that causes as little inconvenience as possible to the Customer.
Use of Subcontractors
LomaLife has the right to engage subcontractors for the performance of LomaLife’s obligations under the Agreement. LomaLife is responsible for the performance of such contractual obligations performed by subcontractors as if they had been performed by LomaLife itself.
Assignment of Agreement
The Agreement may not be assigned or otherwise transferred to a third party, except that LomaLife shall have the right to assign its rights and obligations under the Agreement to a legal person formed or authorized to take over all or part of LomaLife’s business.
Changes to the Terms
LomaLife has the right to make changes and additions to these Terms of Use during the term of the agreement. In case of changes, LomaLife shall notify the Customer, e.g., via email or through a message in Moreyou or on LomaLife’s website.
